The Cleveland Clinic Foundation ("CC") provides access to certain content ("Elsevier Content") provided by Elsevier Inc. ("Elsevier"). You are granted the non-exclusive, non-transferable, right to access, search, browse and view the Elsevier Content as displayed on CC's website; print, make electronic copies of and store for your exclusive use individual items from CC's website; and print out copies of patient education sheets that may be made available on CC's website to provide patients with medical information about their conditions, diseases, treatments and prescription or over-the-counter drugs. Other than as expressly permitted by Elsevier, you shall not: abridge, modify, translate, examine, test, subject to simulated input, reverse engineer, duplicate, or create any derivative work based on the Elsevier Content; remove, obscure or modify in any way any copyright notices, trademarks, or other proprietary notices or disclaimers as they appear in the Elsevier Content; use any robots, spiders, crawlers or other automated downloading programs, algorithms or devices, or any similar or equivalent manual process, to continuously and automatically search, scrape, extract, deep link, index or disrupt the working of the Elsevier Content; or reproduce, transfer, sublicense or redistribute the Elsevier Content (electronically or otherwise), or any copy, adaptation, transcription, or merged portion thereof.
You acknowledge that all right, title and interest in and to the Elsevier Content and documentation, all copies thereof, and all modifications, changes, conversions, upgrades, additions and enhancements thereto, including all applicable rights to methodologies, patents, copyrights, trademarks, trade names, service marks, inventions, know- how, mask work rights, trade secrets and all other intellectual property rights inherent therein and appurtenant thereto, belongs to and remains exclusively with Elsevier or its suppliers, subject only to the limited rights and license expressly granted to you herein. You acknowledge further that the unauthorized redistribution of the Elsevier Content could materially and irreparably harm Elsevier and its suppliers. All rights not expressly granted by Elsevier in this Agreement are expressly reserved by Elsevier.
Elsevier reserves the right to withdraw from the Elsevier Content that it no longer retains the right to provide or that it has reasonable grounds to believe is unlawful, harmful, false or infringing or for editorial, usage, currency, or other commercially reasonable reasons. Although Elsevier makes reasonable efforts to ensure the accuracy and reliability of the Elsevier Content, you acknowledge and agree that CC, its affiliates, and their respective officers, directors, employees and information providers and Elsevier, its affiliates, its licensors, and their respective officers, directors, employees and information providers will not be held liable for any damages suffered or incurred by you or any third person arising out of: a) any faults, interruptions or delays in the Elsevier Content or its delivery, b) any use of or reliance on the Elsevier Content by any person, or c) any inaccuracies, errors or omissions in the Elsevier Content, irrespective of however such faults, interruptions, delays, inaccuracies, errors or omissions arise.
Neither CC nor Elsevier nor Elsevier's suppliers shall be liable to you for any loss, cost or damages resulting from any delays in delivery and/or non-delivery of the Elsevier Content. You acknowledge and agree that your sole and exclusive remedy in the event of such delay is to not accept these terms and conditions and cease any and all use of the CC's product/website that includes the Elsevier Content. You acknowledge and agree that Elsevier and its suppliers provide no medical advice in connection with the Elsevier Content and that the professional duty to the patient in providing healthcare services lies solely with the healthcare professional providing patient care. The information contained in the Elsevier Content may include or incorporate third party information which is not subject to evaluation by Elsevier and, in any event, is intended as a supplement to, and not a substitute for, the knowledge, expertise, skill, and judgment of physicians, pharmacists, nurses, or other healthcare professionals in patient care. Elsevier is not engaged in rendering medical, pharmacologic or health care advice or services.
Elsevier does not assume any responsibility for the actions of you or CC or any third party which may result in liability or damages due to malpractice, failure to warn, negligence, or any other basis. Except for certain patient information materials and materials specifically licensed to CC for distribution to and use directly by patients, the Elsevier Content is designed for and intended to be used by trained healthcare professionals as a reference resource and assume specialized knowledge by users and the exercise of that knowledge and discretion in application of the information contained in the Elsevier Content. You assume all responsibilities, duties, and obligations for any treatment, decision or advice made or given to third parties as a result of the use or application of the Elsevier Content, and for the content, accuracy, and review of such results.
THE ELSEVIER CONTENT IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY. ELSEVIER DOES NOT REPRESENT OR WARRANT THAT THE ELSEVIER CONTENT WILL MEET YOUR OBJECTIVES OR NEEDS OR THE OBJECTIVES OR NEEDS OF ANY END USER OR THIRD PARTY. ELSEVIER MAKES NO WARRANTY OF MERCHANTABILITY OF THE ELSEVIER CONTENT OR OF THE FITNESS OF THE ELSEVIER CONTENT FOR ANY PURPOSE. UNDER NO CIRCUMSTANCES WILL ELSEVIER OR ELSEVIER'S SUPPLIERS OR CC BE LIABLE FOR ANY SPECIAL, lNDlRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY CLAIM OF LOST INCOME, PROFITS, OR BUSINESS INTERRUPTION IN ANY WAY ARISING OUT OF OR RELATED TO YOUR USE OF THE ELSEVIER CONTENT, EVEN IF ELSEVIER OR AN ELSEVIER SUPPLIER OR CC HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.
